Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, forms, SMS/texting programs, and other online or offline services provided by Freedom Roofing LLC d/b/a Froof ("Froof," "we," "us," or "our"). By accessing or using our Services, you agree to these Terms. If you do not agree, do not use the Services.

These Terms are written for a U.S. audience and are not legal advice. If you are a residential customer in Massachusetts, additional state-specific notices may apply. Your written service agreement (if any) for a specific roofing project will control in the event of a conflict with these Terms.

1) Who may use the Services

  • • You must be at least 18 years old and able to enter a binding contract.
  • • You are responsible for all activity on your account and for keeping your contact details accurate.

2) Quotes, estimates, and orders

  • Estimates are not binding. Online quotes or estimates are based on information you provide and our preliminary assessment. Final pricing may change after an on-site inspection, measurement, or discovery of conditions that were not reasonably visible.
  • Change orders. If scope, materials, or site conditions change, we will provide a written change order that may affect price and schedule.
  • Scheduling. Scheduled dates are estimates and may shift due to weather, material availability, or safety conditions. We will keep you informed and reschedule as needed.
  • Permits & approvals. Unless your written service agreement states otherwise, you are responsible for obtaining and paying for required permits, HOA approvals, or third‑party authorizations.

3) Site access & safety

  • • You agree to provide safe, reasonable access to the job site during normal working hours and to secure pets/children away from work areas.
  • • We may refuse or pause work if we determine conditions are unsafe (e.g., electrical hazards, structural issues, severe weather). Delays for safety do not constitute a breach.
  • • We may use subcontractors who meet our qualification and insurance standards.

4) Materials, workmanship & warranties

  • • We install materials from recognized manufacturers in accordance with applicable guidelines.
  • • Manufacturer warranties are provided by the manufacturer and subject to their terms and registration requirements.
  • • Workmanship warranty is as stated in your written service agreement. To preserve warranty coverage, you must maintain the roof and notify us promptly of issues.
  • • Normal wear, storm damage, acts of God, pre‑existing conditions, mold, rot, ventilation issues, and unrelated structural problems are not covered unless expressly stated.

5) Payment terms

  • Invoicing & due dates. Deposit, progress, and final payments are due as stated on your invoice or service agreement. Unless specified, final payment is due upon substantial completion.
  • Late amounts. Unpaid balances may accrue the lesser of 1.5% per month or the maximum rate permitted by law. You agree to pay reasonable costs of collection, including attorneys' fees where allowed.
  • Payment methods. We accept the forms of payment indicated on your invoice. We may offer cash or ACH discounts. Where prohibited by law (including in Massachusetts), we do not impose consumer credit‑card surcharges.
  • Mechanic's lien. We reserve all rights and remedies under applicable lien laws for unpaid amounts.

6) Financing & insurance claims assistance

  • Financing. If you request financing, we may refer you to independent financing providers. We do not make credit decisions. Financing is subject to the partner's terms and privacy policy.
  • Insurance claims. We can provide documentation (photos, reports, estimates) and coordinate with your insurer at your request. We do not act as a public adjuster or provide legal advice, and we do not guarantee insurance approval or coverage amounts.

7) Photos, video & job site data

  • • You authorize us to create photos/video of the work area for estimating, installation, quality control, and warranty purposes.
  • • With your written consent, we may use before/after images of your project in marketing. You may withdraw or opt out at any time by emailing support@froof.com.

8) Communications; SMS/text program

  • • By providing a phone number or email, you consent to receive service‑related communications (e.g., scheduling, updates, invoices). Marketing messages require your consent where required by law.
  • SMS terms. Message frequency varies. Message & data rates may apply. Reply STOP to end and HELP for help. Consent to marketing texts is not a condition of purchase. See our Privacy Policy for details.

9) Acceptable use (website & online services)

You agree not to: (a) misuse the site, interfere with security or access controls; (b) reverse engineer, scrape, or harvest data except as permitted by robots.txt; (c) upload harmful code; (d) infringe intellectual property or privacy rights; or (e) use the Services in violation of law.

10) Intellectual property; license to content

  • • The site, logos, text, graphics, and other materials are owned by Froof or our licensors and are protected by IP laws. We grant you a limited, non‑exclusive, non‑transferable license to access and use the site for its intended purpose.
  • • If you submit reviews, testimonials, photos, or feedback, you grant Froof a non‑exclusive, worldwide, royalty‑free license to use, reproduce, and display that content for marketing and service improvement, subject to our Privacy Policy and any written restrictions you provide.

11) Disclaimers

  • Website. The website and online tools are provided "as is" and "as available." We disclaim all warranties to the fullest extent permitted by law.
  • Project outcomes. While we follow industry standards, we cannot guarantee outcomes or timelines affected by weather, third‑party delays, or hidden conditions.

12) Limitation of liability

To the fullest extent permitted by law: (a) Froof will not be liable for any indirect, incidental, special, consequential, or punitive damages; and (b) our total liability for claims arising out of or relating to the Services will not exceed the amount you paid to Froof for the Services giving rise to the claim in the 12 months before the event.

Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the maximum extent permitted.

13) Indemnification

You agree to defend, indemnify, and hold harmless Froof and our employees, contractors, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Services, or your violation of law.

14) Dispute resolution; arbitration; class‑action waiver

  • Informal resolution first. Contact us at support@froof.com so we can try to resolve your concern informally within 30 days.
  • Arbitration. Except for small‑claims court matters or claims for injunctive relief, any dispute between you and Froof will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Worcester County, Massachusetts, or by video/teleconference if the arbitrator allows.
  • Class‑action waiver. Disputes will be resolved only on an individual basis; class, collective, or representative actions are not permitted.
  • Opt‑out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@froof.com with subject line "Arbitration Opt‑Out" and your name, service address, and phone number.
  • Governing law & venue. Massachusetts law governs these Terms, without regard to conflicts rules. For disputes that may be filed in court (e.g., small claims or injunctive relief), venue lies in state or federal courts located in Worcester County, Massachusetts.

15) Suspension or termination

We may suspend or terminate your access to the site or Services if we believe you violated these Terms or applicable law. You may stop using the site at any time.

16) Changes to these Terms

We may update these Terms from time to time. The Effective date above shows when they were last updated. If we make material changes, we will provide notice as required (for example, by posting a notice on the site). Continued use of the Services after changes means you accept the updated Terms.

17) Miscellaneous

  • Entire agreement. These Terms, together with our Privacy Policy and any written service agreement for your project, form the entire agreement regarding the Services.
  • Severability. If any provision is found unenforceable, the remaining provisions will remain in effect.
  • Assignment. You may not assign your rights without our written consent; we may assign in connection with a merger, acquisition, or asset sale.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control (e.g., severe weather, acts of God, strikes, supply shortages).
